Distributor/Dealer Authorize Certificate

Hi,

We hereby issued this certificate to authorize you as Our official Distributor/Dealer for our Christ-One-AutoParts series Products on the date of Sept/8th/2019 and from the date of obtaining Distributors qualification, you will be entitled to & Enjoying the following our Distributor’s rights and benefits:

1) You are authorized free of charge to download, copy and use our professional products’ description information, images and trademark which listing on our dealer members’ websites for the purpose of selling those products in your online or offline retail-stores;

2) You are authorized to upload, display, paste the products’ content which listed on our Dealer members’ website to your Online or Offline store and obtain reasonable profits between the wholesale prices of dealers and the market suggested retail prices;

3) At first timing you can get the first-hand Inventory& Market information Such as the products of newly Inbound, Out of stock or Holiday Promotion rebate supporting plan, etc.,

Meanwhile as our authorized Distributor, you also have to obey our Dealer members’ Managing policy as bellowing:

1) You can not Listing & selling Any Other Non-ChristOne products in your Online e-Store;

2) You can not selling any of our products at the lower retail selling price than our listing MSRP Price which list& Request on our dealer members’ web-site.

3) You must follow our company’s unified market planning or any other market schedule arrangement, and settle the payment with us in time.

We will keep the right to Hold, Suspended, Restrict till even immediately Close your distributor account and stop continue supplying products, even those actions happened during the Distributor authorization valid period.

This Distributor authorize certificate will Expire after Sept. 7, 2020. and application for Extra 1 year extension must be made to us within 30 days prior to the expiration date, otherwise the authorize certificate will be automatically expired after 1 year.

本公司授权您为我司Christone 汽配系列产品的正式经销商/经销商，自您获得经销商资格之日起，您将享有以下经销商权利和权益：

1)您被授权免费下载、复制和使用我们经销商会员网站上列出的专业产品描述信息、图片和商标，用于您的线上或线下零售商店销售这些产品;

2)您有权将我们经销商会员网站上列出的产品内容上传、展示、粘贴到您的线上或线下店铺，并在经销商批发价与市场建议零售价之间获得合理利润;

3)第一时间可以获得第一手的库存和市场信息，如新入港产品、缺货产品、节假日促销返利配套计划等。

同时，作为我们的授权经销商，您也必须遵守我们的经销商会员管理政策:

1)您不能在您的网上商店出售任何其他非christone产品;

2)您不能以低于经销商会员网站上列出的建议零售价的价格销售我们的任何产品;

3)您必须遵守我司统一的市场计划或任何其他市场的计划安排，并及时与我司结算货款。

我们将保留持有、暂停、限制、甚至立即关闭您的经销商账户并停止继续供应产品的权利，即使这些行为发生在经销商授权有效期内。

该分销商授权证书将于2020年9月7日之后到期。如需延长1年有效期，必须在有效期届满前30天内向我们提出申请，否则1年后授权证书自动失效。
